Welcome to Website Studio. By engaging our services or using our website (www.websitestudio.co.nz), you agree to the following Terms of Service. If you do not agree with any part of these terms, please refrain from using our services.
1. Services
Website Studio provides website design, development, digital consultancy, and related creative services. The exact scope of work, deliverables, and timelines are defined in a written proposal, statement of work, or quote approved by both parties prior to the commencement of work.
2. Quotes, Invoices & Payment
- A non-refundable deposit of 50% of the total project fee is required to secure your booking and commence work.
- Our standard payment structure is split up between three payment milestones:
- Milestone 1: 50% deposit due upfront to secure your booking and commence work.
- Milestone 2: 25% due 30 days after commencement, or upon completion of the UI design phase (whichever comes first).
- Milestone 3: Final 25% due 30 days later, or before the approved site is transferred into your workspace/goes live (whichever comes first).
- All invoices are payable within 14 days of issue date unless otherwise stated.
- Late payments will incur the following fees:
- 2% late fee will be added to any invoice unpaid after 30 days.
- 5% late fee will be added to any invoice unpaid after 60 days, recurring monthly until payment is received.
- If a project is paused for more than 4 weeks, we may request a progress payment or charge a reactivation fee.
- Ownership of deliverables and final files will not transfer, and websites will not be launched or handed over, until all invoices are paid in full.
3. Cancellations & Refunds
- Deposits are non-refundable.
- If you cancel a project after work has commenced, you will be invoiced for all work completed up to the cancellation date, including any third-party costs already incurred.
- Refunds are not guaranteed and are issued at our discretion on a case-by-case basis.
4. Client Responsibilities
- You agree to provide Website Studio with all necessary content, brand assets, feedback, approvals, and access required to complete the project in a timely manner.
- Delays in providing required information or approvals may extend project timelines and may result in additional costs.
5. Intellectual Property
- Final designs, your Webflow site ownership and any content created specifically for you will be transferred to your ownership upon full payment.
- Draft concepts, wireframes, and unused design files remain the intellectual property of Website Studio.
- Website Studio retains the right to showcase completed work in our portfolio, case studies, and marketing materials.
- Third-party assets (such as fonts, plugins, stock imagery, templates) are subject to their own licensing terms and may require separate purchases by the client.
6. Revisions & Scope
- Projects include a set number of revisions, as outlined in your proposal. Additional changes may be billed at an hourly rate.
- Requests beyond the original scope may require a new quote and timeline.
- Any scope changes may also impact project timelines and delivery dates.
7. Website Hosting, Maintenance & Third-Party Services
- Website Studio is not responsible for hosting, domain registration, or third-party platform fees (e.g., Webflow, Shopify) unless explicitly included in your plan.
- Once your website is handed over, responsibility for ongoing maintenance, backups, security, and platform updates rests with you, unless a separate maintenance agreement is in place.
- We recommend allocating a 'super-user' from your business to take ownership of the site. This person will be digitally-savvy and willing to upskill with the likes of Shopify Academy or Webflow University
- We are not responsible for outages, bugs, or failures caused by hosting providers, third-party software, or platforms.
8. Timelines, Delays & Abandonment
- Website Studio will make every reasonable effort to deliver work within agreed timeframes.
- Deadlines are contingent on receiving all required content, approvals, and payments on schedule.
- We are not responsible for delays caused by the client, third-party suppliers, or circumstances outside our control.
- If no meaningful progress is made within 60 days due to client inaction, Website Studio reserves the right to close the project and invoice for all work completed to date. A reactivation fee may apply if the project is restarted later.
9. Browser Support & Testing
- Websites are tested on the latest versions of major browsers (Chrome, Safari, Edge) and standard screen sizes.
- We do not guarantee compatibility with outdated browsers, legacy systems, or unusual devices unless specifically agreed upon in writing.
10. Limitation of Liability
- While we strive to deliver high-quality services, Website Studio is not liable for any indirect, incidental, or consequential damages, including but not limited to loss of profits, business, or data arising from the use or inability to use your website or our services.
- Our total liability in connection with any project will not exceed the fees paid to Website Studio for that project.
11. Disputes & Governing Law
- In the event of a dispute, both parties agree to first attempt to resolve the issue through good faith discussions.
- These terms are governed by the laws of New Zealand, and any disputes shall be subject to the jurisdiction of New Zealand courts.
12. Privacy
We respect your privacy. Please refer to our Privacy Policy for details on how we collect, use, and store your information.
13. Force Majeure
Website Studio is not liable for delays or failure to deliver services due to events beyond our reasonable control, including illness, natural disasters, internet outages, or platform changes.
14. Updates to Terms
Website Studio reserves the right to update or amend these Terms of Service at any time. The latest version will always be available on our website.
